Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Efghi LLC ("Efghi," "we," "us," or "our"), the company that operates the Pludor platform, governing your access to and use of pludor.com, the Pludor mobile applications, APIs, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.

You represent that you are at least 18 years of age, or the legal age of majority in your jurisdiction, and that you have the legal authority to enter into this agreement. If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Pludor is a unified commerce, logistics, and creator platform operated by Efghi LLC that enables individuals and businesses to build branded storefronts, sell products and services, engage audiences, manage payments, arrange local rides and delivery, and access AI-powered tools. The Service includes, but is not limited to:

• Branded storefront and link-in-bio checkout functionality
• Classifieds listings for physical products, digital goods, and services
• Creator subscription and monetization features, including Flika
• Pludor Wallet for in-platform payments and peer-to-peer transfers
• Aura, our AI companion for business and personal productivity
• Signals and Communities (public posts, feeds, and group discussions)
• Sharing — ride-hailing, courier/parcel delivery, and grocery/food logistics coordination between riders, drivers, and couriers
• Live streaming and broadcast tools, including live shopping and auctions
• AI Studio for AI-assisted content generation
• Identity verification (KYC) for wallet and marketplace trust and safety
• Answering Portal and CRM tools for tenant businesses

Not every feature is available in every country or region. Efghi LLC reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes that affect their use of the Service.

3. User Accounts

To access most features of the Service, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate
• Keep your password secure and confidential
• Accept responsibility for all activity that occurs under your account
• Notify us immediately at [email protected] if you suspect unauthorized access to your account

You may not create an account using a false identity, impersonate another person or entity, or use the Service if you have been previously banned by us. Accounts are non-transferable. We reserve the right to reclaim usernames and slugs that are inactive, infringing, or otherwise in violation of these Terms.

4. Identity Verification (KYC)

Certain features — including Pludor Wallet withdrawals, seller payouts, and other financial or trust-sensitive features — require identity verification ("KYC"). By using these features, you agree to:

• Provide a valid government-issued identification document and a live selfie for facial-match verification when requested
• Ensure the information and documents you submit are genuine, current, and belong to you
• Understand that verification is reviewed using a combination of automated checks and human review, and may take time to complete
• Understand that verification is valid for one year, after which re-verification may be required to continue using verification-gated features

We may deny, suspend, or revoke access to verification-gated features if we are unable to verify your identity, if we suspect fraud, or as required by applicable law. Verification images are retained only as long as necessary for verification and compliance purposes and are deleted upon expiry of your verification or deletion of your account, as described in our Privacy Policy.

5. User Content

The Service allows you to submit, upload, publish, and share content including text, images, videos, live broadcasts, listings, posts, and other materials ("User Content"). You retain ownership of your User Content. By submitting User Content to the Service, you grant Efghi LLC a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating, promoting, and improving the Service.

You represent and warrant that:

• You own or have the necessary rights and permissions to submit your User Content
• Your User Content does not infringe the intellectual property, privacy, or other rights of any third party
• Your User Content complies with all applicable laws and regulations
• Your User Content does not contain malware, viruses, or malicious code

We do not endorse any User Content and have no obligation to monitor it. However, we reserve the right to remove or restrict any User Content — including live broadcasts — that violates these Terms or that we determine, in our sole discretion, to be harmful, offensive, or otherwise objectionable, and to suspend or terminate the accounts of repeat offenders.

6. Prohibited Conduct

You agree not to engage in any of the following conduct while using the Service:

• Violating any applicable local, national, or international law or regulation
• Impersonating any person, business, or entity, or misrepresenting your affiliation with any person or entity
• Posting or transmitting content that is unlawful, defamatory, obscene, fraudulent, threatening, harassing, or invasive of another's privacy
• Listing, selling, or promoting prohibited items including counterfeit goods, illegal substances, weapons, or content that exploits or endangers minors
• Misrepresenting your age or identity, or providing false information during identity verification
• Using the Service to send unsolicited commercial communications (spam)
• Attempting to gain unauthorized access to any part of the Service or its related systems
• Using automated tools (bots, scrapers, crawlers) to access the Service without our prior written consent
• Interfering with or disrupting the integrity or performance of the Service
• Circumventing, disabling, or otherwise interfering with security features, including identity verification
• Using the Pludor Wallet or payment features for money laundering, fraud, or any illegal financial activity
• Manipulating or gaming any AI features, ratings, recommendation systems, or live-stream engagement metrics
• Accepting a Sharing ride, delivery, or courier request you do not intend to complete, or engaging in unsafe conduct while providing or receiving Sharing services
• Engaging in any conduct that restricts or inhibits any other user from using or enjoying the Service

7. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Efghi LLC and its licensors. The Pludor name, logo, and all related marks, designs, and trade dress are trademarks of Efghi LLC. You may not use our trademarks without our prior written permission.

We respect the intellectual property rights of others. If you believe your copyrighted work has been used on the Service in a way that constitutes copyright infringement, please send a notice to [email protected] containing: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and information reasonably sufficient to locate it; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement that the information is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner. We will respond to valid notices under the Digital Millennium Copyright Act (DMCA) and may remove infringing content, disable access to it, and terminate repeat infringers.

8. Wallet and Payments

Pludor offers an in-platform Wallet ("Pludor Wallet") that enables users to hold a balance, make purchases, receive payments from buyers, conduct peer-to-peer transfers between users, and pay for creator subscriptions and Sharing services. By using the Pludor Wallet, you agree to the following additional terms:

• Funding and Withdrawals: You may fund your Wallet using supported payment methods. Withdrawals are subject to identity verification and applicable processing times. We reserve the right to place holds on funds pending fraud review.
• P2P Transfers: Peer-to-peer transfers between Pludor users are processed instantly and are generally non-reversible. You are responsible for verifying the identity of the recipient before initiating a transfer.
• Creator Subscriptions: Subscription payments are charged to your Wallet balance on a recurring monthly basis. You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period. Refunds on subscription payments are issued at our sole discretion.
• Transaction Fees: We may charge fees for certain Wallet transactions. Applicable fees will be disclosed prior to transaction confirmation.
• Prohibited Uses: You may not use the Pludor Wallet for fraudulent transactions, money laundering, or any purpose that violates applicable law. We may suspend or terminate Wallet access and report suspicious activity to relevant authorities.
• No Interest: Pludor Wallet balances do not earn interest. The Wallet is not a bank account and is not insured by any government deposit insurance program.

All payment processing is subject to the terms of our third-party payment processors, including Stripe. We are not responsible for errors or failures caused by payment processors.

9. Classifieds and Peer-to-Peer Commerce

Pludor operates a peer-to-peer ("P2P") marketplace that allows users ("Sellers") to list and sell physical products, digital goods, and services to other users ("Buyers"). By participating in the marketplace as a Seller or Buyer, you agree to the following:

• Seller Listings: Sellers are solely responsible for the accuracy, legality, and completeness of their listings, including product descriptions, pricing, condition, and availability. We do not verify the accuracy of listing information.
• Buyer Obligations: Buyers agree to complete purchases in good faith and to pay the full listed price plus any applicable fees. Buyers must not initiate chargebacks or payment reversals for items that were delivered as described.
• Prohibited Items: The sale of counterfeit goods, controlled substances, weapons, adult content, stolen property, or any items prohibited by applicable law is strictly forbidden. We may remove listings and suspend accounts without notice for violations.
• Disputes Between Users: We provide a platform for commerce but are not a party to transactions between Buyers and Sellers. In the event of a dispute, we may, at our sole discretion, assist in mediation but are not obligated to resolve disputes or guarantee outcomes.
• Ratings and Reviews: Buyers and Sellers may leave ratings following completed transactions. Ratings must be honest and based on actual transaction experience. Manipulating ratings — including offering incentives for positive reviews or threatening negative reviews — is prohibited and may result in account suspension.
• Classifieds Fees: We may charge transaction fees on classifieds sales. Current fee schedules are disclosed in your seller dashboard prior to listing publication. Fees are non-refundable once a transaction is completed.

We reserve the right to remove any listing, cancel any transaction, or suspend any participant from the marketplace at our sole discretion, with or without notice, for any reason including but not limited to violation of these Terms, suspected fraud, or harm to platform integrity.

10. Sharing: Rides, Delivery, and Courier Services

Sharing connects riders, senders, and shoppers ("Requesters") with independent drivers, couriers, and shoppers ("Providers") to arrange transportation, delivery, and errand services. By using Sharing, you acknowledge and agree that:

• Independent Providers. Providers are independent third parties and are not employees, agents, or partners of Efghi LLC. We do not own, operate, or control any vehicle, and we are not a transportation carrier or delivery company.
• Platform Only. Efghi LLC provides a technology platform that facilitates connections between Requesters and Providers. We are not a party to the agreement formed between a Requester and Provider for the underlying ride, delivery, or errand.
• Assumption of Risk. Transportation, delivery, and in-person errand services carry inherent risks. You voluntarily assume all risks associated with requesting or providing Sharing services, including risks arising from interactions with other users, road conditions, and third-party conduct, to the fullest extent permitted by applicable law.
• Verification. While we may apply verification and safety checks to Providers, we do not guarantee the conduct, background, licensing, or insurance status of any Provider, and you should exercise reasonable care and judgment when using Sharing.
• Parcel and Grocery Contents. Requesters are solely responsible for ensuring that items sent for delivery are legal to transport and accurately described. Providers may decline to transport prohibited, hazardous, or unlawful items.
• Pricing and Fees. Fares and delivery fees are calculated based on factors such as distance, time, and demand, and are disclosed to you before you confirm a request.

11. Live Streaming and Broadcast Content

Pludor allows users to host and view live broadcasts, including live shopping and auction formats. By hosting or participating in a live broadcast, you agree that:

• Live content is subject to the same User Content standards in Sections 5 and 6, applied in real time; we may terminate a broadcast at any time if it violates these Terms
• You are solely responsible for what you say, show, or sell during a broadcast, including compliance with applicable advertising, consumer protection, and product safety laws
• Gifts, tips, auction bids, and purchases made during a live broadcast are processed through the Pludor Wallet and are subject to Section 8
• We are not responsible for the accuracy of claims made, or products sold, by hosts during a broadcast
• Broadcasts may be recorded, and clips may be retained and used as described in our Privacy Policy

12. In-Person Interactions

Some features of the Service, including Sharing rides, deliveries, and courier services, and community events, may lead to interactions or meetings between users in person. By using these features, you agree that:

• You are solely responsible for your interactions with other users, both online and in person
• We do not conduct criminal background checks on users and do not guarantee the identity, intentions, or conduct of any user you interact with through the Service
• You should exercise caution and good judgment before sharing personal information with, or meeting in person, anyone you connect with through the Service, meet in public places where practical, and tell someone else about your plans
• Harassment, coercion, solicitation, or any conduct prohibited under Section 6 will result in immediate suspension and may be reported to law enforcement

To the fullest extent permitted by applicable law, Efghi LLC disclaims liability for the conduct of any user, online or offline, encountered through the Service.

13. AI-Generated Content and Features

Pludor's AI features - including the "Ask Pludor" assistant (in the chat, by voice, through the floating button and "Hey Pludor"), AI Studio and Aura - use artificial intelligence to answer questions, generate text, images and other content, and take actions for you based on your inputs. By using these features, you agree that:

• AI-generated output may be inaccurate, incomplete, biased, or outdated, and should not be relied upon as professional, legal, financial, medical, or safety advice. This includes answers about live information such as weather, prices, opening hours, news or markets: where the assistant shows its source, check the source; where it cannot check, it will tell you rather than guess, but you should verify anything important before relying on it
• Nothing the assistant says is investment advice. It does not buy, sell or trade securities or other investments for you
• Actions that spend money, book, post, publish or send messages on your behalf are always shown to you first and only happen after you confirm that exact action. You are responsible for the actions you confirm
• You are solely responsible for reviewing and verifying AI-generated content before publishing, sending, or acting on it
• You must not use AI features to generate content that would violate Section 6 of these Terms, including content that infringes third-party rights or exploits or endangers minors
• To the extent you own rights in AI-generated output under applicable law, you grant us the same license described in Section 5 with respect to any such output you post to the Service

14. Merchant of Record

For certain transaction types on the Pludor platform, Efghi LLC acts as the Merchant of Record ("MoR") — the legal entity that processes the payment, appears on the buyer's payment statement, and bears responsibility for the transaction with payment networks and financial institutions. Where we are the MoR:

• Payment Processing: We collect payment from the Buyer on behalf of the Seller and remit the net amount (less applicable fees) to the Seller's Pludor Wallet. The charge that appears on the Buyer's statement will reference Efghi LLC or Pludor.
• Sales Tax and VAT: As MoR, we are responsible for calculating, collecting, and remitting applicable sales tax, VAT, or other consumption taxes as required by law in the relevant jurisdictions. Sellers authorize us to collect and remit these taxes on their behalf and agree not to charge buyers separately for taxes on MoR-processed transactions.
• Chargebacks and Refunds: We bear primary liability for chargebacks initiated by Buyers through their payment institutions on MoR-processed transactions. Sellers agree to cooperate with our chargeback review process and acknowledge that we may deduct chargeback amounts and associated fees from the Seller's Wallet balance. Refund decisions are made by us in accordance with our refund policy and applicable consumer protection laws.
• Fraud Prevention: We apply fraud screening to all MoR transactions. We may decline, hold, or reverse transactions that trigger our fraud detection systems. We are not liable for losses arising from fraud by third parties beyond our reasonable control.
• Scope: Our MoR role applies to transactions processed through the Pludor checkout and wallet infrastructure. Where Sellers use their own external payment processors, we are not the MoR and bear no liability for those transactions.

Sellers who operate stores through Pludor and process payments via the Pludor checkout infrastructure acknowledge and consent to our role as Merchant of Record for those transactions.

15. Seller and Tenant Operator Responsibilities

Users who operate storefronts, businesses, or creator channels through Pludor ("Tenant Operators" or "Sellers") take on additional responsibilities. By operating a store or business presence on Pludor, you agree that:

• Business Compliance: You are solely responsible for operating your business in compliance with all applicable local, state, national, and international laws, including business registration requirements, consumer protection laws, product safety regulations, import/export restrictions, and employment laws.
• Product and Service Quality: You are responsible for the quality, safety, legality, and accurate representation of all products and services you list or sell. You must fulfill orders as described, within the timeframes stated, or promptly notify buyers of any delays or inability to fulfill.
• Customer Service: You are responsible for providing reasonable customer service to your buyers, including responding to inquiries, handling returns and exchanges in accordance with your stated policies, and resolving disputes in good faith.
• Return and Refund Policy: You must clearly state your return and refund policy in your store settings. In the absence of a stated policy, our default refund guidelines apply. Refund and return policies must not be designed to circumvent buyer protections under applicable law.
• Tax Obligations: Except where we are acting as Merchant of Record (see Section 14), you are responsible for determining, collecting, reporting, and remitting any taxes applicable to your sales, including income tax, sales tax, GST, VAT, or other levies. We are not your tax advisor and do not assume any tax liability on your behalf for non-MoR transactions.
• Platform Integrity: You must not use your store or tenant presence to defraud buyers, engage in price manipulation, artificially inflate reviews or follower counts, or otherwise undermine the trust and safety of the Pludor marketplace.
• Accurate Business Information: You must provide accurate business name, contact, and location information. Misrepresentation of your business identity, location, or nature of goods and services is grounds for immediate suspension.
• Revenue Share and Fees: By operating a tenant store, you agree to our current fee schedule, which may include transaction fees, subscription plan fees, and feature-specific charges. Fee schedules are available in your tenant dashboard and may be updated with thirty (30) days' notice.

We reserve the right to remove any store, listing, or tenant account that fails to meet these standards, violates these Terms, or poses a risk to users or the platform. We are not liable for losses you incur as a result of any such enforcement action taken in good faith.

16. Communications and Notifications

By creating an account, you consent to receive transactional communications from us related to your account, orders, security, and use of the Service via email, SMS/text message, and push notification. Message and data rates may apply to SMS communications. You may opt out of non-essential marketing communications at any time using the unsubscribe link in those messages or your notification settings, but you will continue to receive transactional and security-related communications necessary to operate your account.

17. Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and share information about you when you use the Service. By agreeing to these Terms, you also agree to our Privacy Policy. We encourage you to read it carefully.

18. Third-Party Services and Links

The Service may contain links to third-party websites, services, or content that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We encourage you to review the terms and privacy policies of any third-party services you access through the Service.

Certain features of the Service may be powered by third-party AI providers, payment processors, mapping providers, and infrastructure providers. Your use of those features is also subject to the applicable third-party terms of service.

If you access the Service through the Apple App Store or Google Play Store, you acknowledge that your use is also subject to that platform's standard terms of service, and that these Terms are between you and Efghi LLC, not the app store provider.

19. Export Control and Sanctions Compliance

You may not use the Service if you are located in, or a resident or national of, any country subject to U.S. government embargo, or if you are listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and economic sanctions laws and regulations.

20. Termination

We reserve the right to suspend or terminate your account and your access to the Service at any time, with or without cause, and with or without notice, including for violation of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• Any outstanding Wallet balance may be subject to a review period before withdrawal
• Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, arbitration, and limitations of liability

You may terminate your account at any time by contacting us at [email protected]. Following termination, we may retain your data as required by applicable law or our internal data retention policies, as described in our Privacy Policy.

21. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EFGHI LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) any results obtained from using the Service will be accurate or reliable; (c) any errors in the Service will be corrected; or (d) the Service or the servers that make it available are free of viruses or other harmful components. We do not warrant the conduct, safety, or reliability of any user or Sharing Provider you interact with through the Service.

AI-generated content provided through Aura or AI Studio is for informational and productivity purposes only. It may be inaccurate, incomplete, or outdated. You are solely responsible for evaluating and verifying any AI-generated output before relying on it for business, legal, financial, medical, or other decisions.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EFGHI LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, OR PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM IN-PERSON INTERACTIONS ARRANGED THROUGH THE SERVICE (INCLUDING WAYFARE), ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations and exclusions apply only to the maximum extent permitted by applicable law.

23. Indemnification

You agree to defend, indemnify, and hold harmless Efghi LLC and its officers, members, employees, contractors, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights, including intellectual property or privacy rights; or (f) your interactions with other users, including through Sharing.

24. Dispute Resolution: Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Before initiating any formal legal proceedings, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for a period of at least thirty (30) days.

If a dispute is not resolved informally, you and Efghi LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court. This arbitration agreement is governed by the Federal Arbitration Act.

YOU AND EFGHI LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. All claims must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

If any part of this arbitration agreement is found unenforceable, the remainder shall remain in force, except that if the class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request for relief (and only that claim or request) shall be severed and proceed in a court of competent jurisdiction, with the remaining claims subject to arbitration.

25. Governing Law

These Terms and any dispute arising out of or relating to them or the Service that is not subject to arbitration under Section 24 shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions. Any legal action permitted to proceed in court under Section 24 shall be brought exclusively in the state or federal courts located in Bay County, Florida, and you hereby consent to personal jurisdiction and venue in such courts.

26. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and may notify you via email or a notice within the Service. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

We encourage you to review these Terms periodically to stay informed about your rights and obligations.

27. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Efghi LLC with respect to the Service and supersede all prior agreements and understandings.

Feedback. If you send us feedback, suggestions, or ideas about the Service, you grant us an unrestricted, royalty-free, perpetual license to use and incorporate that feedback without any obligation to you.
